Terms & Conditions of Use

PLEASE READ THESE TERMS CAREFULLY. By accessing or using the WayKind™ website (www.way-kind.com) or any related services (together, the "Service"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, do not use the Service.
These Terms include a binding arbitration agreement and a waiver of class actions in Section 15.
The Service is intended for residents of the United States who are at least 18 years old.
1. Parties, Scope, Acceptance and Jurisdiction
1.1 Parties and Acceptance.
These Terms are a legal agreement between Wholesale Hotels Group LLC, doing business as WayKind™ (WayKind™, we, us or our), a Wyoming limited liability company, and each person or entity that accesses or uses the Service (User, you or your). By accessing or using the Service in any manner, including visiting the website, creating an account, registering a booking, enrolling as a nonprofit, or participating in any referral or rewards program, you agree to these Terms. If you use the Service on behalf of an organization, company or other entity, you represent and warrant that you are authorized to accept these Terms on that entity's behalf. By using the Service, you also agree to our Privacy and Data Protection Policy and Cookie Policy, which are incorporated into these Terms by reference.
1.2 Relationship to Other Agreements.
If you are accepted as a Referral Partner, your participation is also governed by a separate Referral Partner Participation Agreement. If you participate as an Enrolled Nonprofit or other organization, you may also sign a separate participation or organization agreement. Unless those agreements expressly override specific provisions, these Terms (including Sections 10 through 15) will govern if there is any conflict.
1.3 Geographic Scope.
The Service is directed only to individuals and entities located in the United States. You may use the Service only if you are located in the United States and it is lawful for you to do so under all applicable laws.
1.4 Governing Law.
These Terms and any disputes arising out of or relating to them are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Wyoming, United States, without regard to conflict of law rules.
1.5 Venue.
Except as otherwise provided in Section 15, you agree that any legal action, arbitration or proceeding arising out of or relating to these Terms or your use of the Service will be brought exclusively in Sheridan County, Wyoming, United States. You consent to personal jurisdiction and venue in Sheridan County, Wyoming for such purposes.
1.6 Changes to the Service.
We may modify, suspend or discontinue any part of the Service at any time, temporarily or permanently, with or without notice, and without liability to you or any third party.
2. Definitions
2.1 Booking means a hotel reservation you make directly with a hotel or an approved booking channel using a WayKind™ referral or agency code.
2.2 Commission means the portion of hotel or provider revenue that WayKind™ actually receives in cleared funds as a commission, referral fee or similar payment that is attributable to a Booking.
2.3 Net Commission means Commission actually received by WayKind™ after all refunds, chargebacks, cancellations, reversals, disputes, discounts, currency conversions, processor fees, taxes, penalties, setoffs and other deductions or losses.
2.4 Designated Nonprofit means a nonprofit organization that you have selected in your WayKind™ account to receive a share of Net Commission in connection with eligible Bookings.
2.5 Enrolled Nonprofit or Organization means a nonprofit or other organization that has completed WayKind™'s enrollment process and maintains a valid Stripe Connect account or other approved payout method.
2.6 Referral Partner means any individual or entity that participates in WayKind™'s referral program under a separate Referral Partner Participation Agreement.
2.7 User Content means any information, data, text, images, confirmations or other content that you submit through the Service.
2.8 Hotels or Providers means hotels, lodging providers, booking engines and any other third parties that provide or sell travel or lodging services.
2.9 Service Providers means third party service providers that support the Service, including Stripe and other payment processors.
2.10 Service means the website at www.way-kind.com, related domains, applications, dashboards and all associated features and services provided by WayKind™.
3. Eligibility, Enrollment and Accounts
3.1 Age.
You must be at least 18 years of age to use the Service. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.
3.2 Nonprofit Enrollment.
To be treated as an Enrolled Nonprofit and receive payouts, an organization must complete WayKind™'s onboarding process, pass any required checks, maintain a valid Stripe Connect account, and comply with any participation agreement. We may approve or decline any nonprofit in our sole discretion.
3.3 Account Registration and Security.
To use certain features, you may need to create an account. You agree to provide accurate information and keep it up to date. You are responsible for all activity under your account and for maintaining the security of your login credentials. Notify us promptly of any suspected unauthorized use.
3.4 Prohibited Users.
You may not use the Service if you are located in any jurisdiction subject to comprehensive United States trade sanctions, or if you are listed on any United States or other applicable government list of restricted parties.
4. Core Service, Role, Commission and Payouts
4.1 How WayKind™ Works and Our Role.
WayKind™ operates a platform that tracks eligible Bookings and, when WayKind™ receives Net Commission from Hotels or Providers, allocates a portion to Enrolled Nonprofits and eligible Referral Partners. We do not sell, own, manage or control any hotel or travel service. You make Bookings directly with Hotels or Providers. WayKind™ is not a party to your Booking contracts and is not responsible for the acts or omissions of Hotels, Providers, Enrolled Nonprofits, Referral Partners or Service Providers. WayKind™ does not serve as a travel agency, tour operator, insurer, financial advisor, tax advisor, legal advisor, trustee or fiduciary.
4.2 Commission Distribution and Referral Fees.
When WayKind™ receives Net Commission for a Booking that meets all eligibility requirements, we currently allocate Net Commission as follows: (a) fifty percent to the Designated Nonprofit, if any; (b) up to ten percent to one or more Referral Partners; and (c) the remainder is retained by WayKind™. Referral Partner eligibility and percentages are governed by the Referral Partner Participation Agreement. WayKind™ may modify program rules, percentages and eligibility criteria at any time on a prospective basis.
4.3 Commission Qualification and Our Discretion.
Not all Bookings qualify for Commission or Net Commission. No Commission is owed unless and until WayKind™ actually receives cleared funds. Bookings may not qualify if they involve non-commissionable rates, government or corporate rates, missing or incorrect codes, cancellations, no-shows, fraud, invalid documentation, Hotels or Providers that don't honor claims, or any other reason determined by WayKind™ or a Hotel or Provider. WayKind™ has sole discretion to determine qualification and may rely on records from Hotels, Providers and Service Providers.
4.4 Timing, Currency and Payout Methods.
Hotels and Providers may take many weeks or months to report and pay Commission. WayKind™ has no obligation to pay or allocate amounts until after Net Commission is received, reconciled and validated. All payouts are in U.S. dollars through Stripe Connect or another method we specify. You are responsible for maintaining accurate payout details and for any fees imposed by Stripe, banks or other Service Providers. WayKind™ is not responsible for delays or errors from third parties. We may establish minimum payout thresholds.
4.5 Nonprofit Fallback and Re-designation.
If your Designated Nonprofit has not enrolled, is not eligible, or cannot receive payouts, we may notify you and give you an opportunity to select another Enrolled Nonprofit. If you do not select one within the period we specify, we may allocate the nonprofit share to The Animal Foundation (EIN 88-0144253) or to one or more other nonprofits in our discretion. We may reallocate funds under this provision for up to six months after Net Commission is received. We may change the default nonprofit at any time.
4.6 Referral Link Locking.
If you sign up through a nonprofit referral link, that nonprofit may be permanently associated with your account for attribution purposes. To support a different nonprofit, you may need to create a separate account. If you sign up directly without a referral link, you may change your Designated Nonprofit in your account settings.
4.7 Nonprofit and Partner Reporting.
Enrolled Nonprofits and Referral Partners may have access to dashboards showing aggregated statistics such as supporters, eligible activity, allocations and payout history. These reports will not include traveler names, booking references or other personal data. The scope and detail of reporting may change over time.
4.8 Tax Treatment and No Professional Advice.
Amounts that WayKind™ allocates to Enrolled Nonprofits come from WayKind™'s own Net Commission and are not paid by travelers. They do not constitute tax-deductible contributions by travelers. WayKind™ does not provide tax, legal or accounting advice. You should consult your own advisors. You are solely responsible for your own tax obligations.
4.9 Audit, Fraud, Chargebacks and Setoff.
WayKind™ may audit Bookings, referrals, allocations and payouts and investigate potential errors or fraud. We may deny, reduce, delay or claw back allocations, referral fees or other amounts, or offset them against current or future payouts, if we determine that the underlying Booking was invalid, Net Commission was not received or was reversed, there was an overpayment or error, or you breached these Terms. We may invoice you for any negative balance, and you must pay within ten business days.
4.10 Unclaimed Property.
Funds that are allocated but not paid out may be subject to state unclaimed property or escheat laws. Where required, we may report and remit such funds to government authorities. Where permitted by law, after any required notices or waiting periods, we may reallocate nonprofit related funds to the default nonprofit instead of remitting them as unclaimed property.
5. Traveler and Nonprofit Declarations and Release
5.1 Traveler Declarations.
By using the Service, you certify that: (a) your participation is voluntary and you do not pay any additional amount to support nonprofits; (b) you will not receive any portion of Net Commission; (c) you will not treat amounts directed to nonprofits as your own tax-deductible donations; (d) you understand WayKind™ retains a share of Net Commission; and (e) your choice of Designated Nonprofit is your own, and WayKind™ is not liable for that nonprofit's actions.
5.2 Independent Nonprofits and Providers.
Enrolled Nonprofits, Referral Partners, Hotels, Providers and Service Providers are independent third parties. WayKind™ does not control their operations, finances, decisions or use of funds.
5.3 Nonprofit Declarations.
By participating as an Enrolled Nonprofit, an organization represents that it is duly organized, in good standing, eligible to receive payouts and in compliance with all applicable laws. We may suspend or terminate participation at any time.
5.4 Release.
To the maximum extent permitted by law, you release WayKind™ and its affiliates from any claims arising from: (a) your choice of any nonprofit or Referral Partner; (b) acts or omissions of any nonprofit, Referral Partner, Hotel, Provider or Service Provider; (c) any Booking or travel service; and (d) any use or misuse of funds by any nonprofit or third party.
6. User Content, Intellectual Property and DMCA
6.1 User Content.
User Content includes all content and information that you submit through the Service. You are solely responsible for your User Content and for ensuring it is accurate and compliant with applicable laws.
6.2 License Grant.
By submitting User Content, you grant WayKind™ a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable and sublicensable license to use, host, store, reproduce, modify, publish, distribute and display your User Content in connection with operating and improving the Service.
6.3 Aggregated and De-identified Data.
WayKind™ may use information about your use of the Service in aggregated or de-identified form for analytics, reporting, product improvement and other lawful business purposes.
6.4 Your Warranties for User Content.
You represent and warrant that: (a) you own or have all necessary rights to submit your User Content; (b) your User Content does not infringe any third party rights; and (c) your User Content does not violate any law.
6.5 WayKind™ Intellectual Property and License to You.
The Service and all related intellectual property rights are owned by WayKind™ or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, reverse engineer or create derivative works of the Service.
6.6 Content Moderation.
WayKind™ may monitor, review, edit or remove User Content at any time for any reason, including if we believe it violates these Terms or applicable law.
6.7 DMCA and Copyright.
If you believe content on the Service infringes your copyright, send a DMCA notice to [email protected] with all required information. We may remove allegedly infringing content and terminate repeat infringers.
7. Acceptable Use
You agree not to: (a) violate any law; (b) submit false or fraudulent information; (c) interfere with or harm the Service's operation or security; (d) access unauthorized data or systems; (e) use automated tools without permission; (f) reverse engineer the Service; (g) conduct security testing without permission; (h) bypass access controls or usage limits; (i) submit unlawful, infringing, abusive or objectionable content; (j) divert or misdirect funds or commissions; (k) misuse WayKind™ trademarks; or (l) assist others in doing any of the above. We may investigate violations and cooperate with law enforcement. We may suspend or terminate access for any violation.
8. Third Party Services, Stripe, E-Sign and Electronic Communications
8.1 Third Party Services.
The Service may rely on or link to third party services. WayKind™ does not endorse or control third parties and is not responsible for their actions. Your use of third party services is subject to their own terms and privacy policies.
8.2 Stripe Connect.
Payouts are made through Stripe Connect or other payment processors. By enrolling to receive payouts, you agree to comply with Stripe's terms. WayKind™ has no responsibility for Stripe's actions, including holds, delays, fees or account closures.
8.3 E-Sign Consent.
You consent to electronic signatures and records for agreements, consents and communications. Electronic signatures have the same legal effect as handwritten signatures.
8.4 Electronic Communications.
You consent to receive Service-related communications electronically, including by email or in-account messages. You may opt out of certain marketing communications but cannot opt out of important Service-related communications unless you close your account.
9. Privacy and Cookies
Your use of the Service is subject to our Privacy and Data Protection Policy and Cookie Policy, which explain how we collect, use, share and protect your personal data. By using the Service, you acknowledge that WayKind™ may process your information in accordance with those policies. In the event of any conflict between these Terms and our Privacy Policy, these Terms will control to the extent permitted by law.
10. Disclaimers, No Warranties and No Professional Advice
10.1 Service Provided As Is.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WAYKIND™ AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WayKind™ does not warrant that the Service will be uninterrupted, secure or error-free.
10.2 No Guarantee of Commission or Results.
WayKind™ does not guarantee that any Booking will qualify for Commission, that any Hotel will pay Commission, or that any nonprofit or Referral Partner will receive any minimum amount. We make no warranty regarding any specific outcome.
10.3 No Legal, Tax or Financial Advice.
Information on the Service is for general purposes only and does not constitute legal, tax or financial advice. You should obtain professional advice from your own advisors.
10.4 Jurisdictional Limitations.
Some jurisdictions do not allow certain warranty exclusions. To the extent applicable law does not permit certain exclusions, those exclusions will apply only to the fullest extent permitted.
11. Limitation of Liability
11.1 Exclusion of Certain Damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYKIND™ AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Direct Damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYKIND™'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) THE AMOUNTS YOU PAID TO WAYKIND™, IF ANY, DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED UNITED STATES DOLLARS (USD 100). This limitation is cumulative and applies to all claims.
11.3 Exceptions.
The limitations in this Section 11 do not apply to liability for gross negligence, willful misconduct, fraud or any liability that cannot be excluded under applicable law.
11.4 Time Limit to Bring Claims.
Any claim or cause of action arising out of or relating to the Service or these Terms must be brought within one year after the claim first accrues, or such claim is permanently barred, unless a longer period is required by applicable law.
11.5 Jurisdictional Limitations.
Some jurisdictions do not allow certain limitations of liability. To the extent applicable law does not permit certain limitations, those limitations will apply only to the fullest extent permitted.
12. Indemnification
12.1 Your Indemnity.
You agree to indemnify, defend and hold harmless WayKind™, its affiliates, and their respective members, managers, officers, employees, contractors and agents from any claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your choice of any nonprofit or Referral Partner; (d) any Booking or interaction with Hotels or Providers; (e) any breach of these Terms; or (f) any violation of law or third party rights by you.
12.2 Control of Defense.
WayKind™ may assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with WayKind™ in defending the claim. You may not settle any claim without our prior written consent.
13. Termination and Suspension
13.1 Suspension or Termination by WayKind™.
We may suspend, restrict or terminate your access to the Service at any time, with or without notice, and with or without cause, including if we believe you have violated these Terms, engaged in fraud or suspicious activity, or created legal or security risk. WayKind™ will have no liability for any such suspension or termination.
13.2 Effect of Termination.
Upon termination: (a) your right to use the Service will immediately cease; (b) any licenses granted to you will terminate; and (c) you must stop all use of the Service. We may, but have no obligation to, process accrued but unpaid allocations or payouts after termination, subject to these Terms. We may withhold or forfeit amounts in cases of suspected fraud or non-compliance.
13.3 Survival.
Sections 2, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13.2, 13.3, and Sections 14 through 22 survive termination of these Terms.
14. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the Last Updated date, and we may also send you an email or provide an in-Service notice. Unless otherwise stated, updated Terms will be effective when posted. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
15. Dispute Resolution, Arbitration and Class Action Waiver
Please read this Section carefully. It affects your rights.
15.1 Good Faith Negotiation.
Before initiating arbitration or court action, you and WayKind™ agree to first attempt to resolve any dispute through informal negotiation. Either party may begin by sending a written notice describing the dispute. The parties will meet or confer within thirty days. If the dispute is not resolved within sixty days, either party may proceed to arbitration or small claims court.
15.2 Binding Individual Arbitration.
Except as provided in Sections 15.4 and 15.5, any dispute not resolved by negotiation will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as modified by this Section. The arbitration will be conducted by a single arbitrator. The seat and venue will be Sheridan County, Wyoming, United States. The arbitrator's decision will be final and binding and may be entered as a judgment in any court.
15.3 Class and Representative Action Waiver.
You and WayKind™ agree that each may bring claims only on an individual basis, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not consolidate claims of more than one person. If this waiver is found unenforceable, the agreement to arbitrate will be null and void as to that claim, which must be brought in court.
15.4 Small Claims Court.
Either you or WayKind™ may bring an individual action in small claims court instead of arbitration, so long as the action is limited to the claim and remedy permitted by that court.
15.5 Injunctive and Equitable Relief.
Either party may seek temporary or emergency injunctive or equitable relief in court for urgent matters, such as unauthorized use of intellectual property. Seeking such relief does not waive the obligation to arbitrate other disputes.
15.6 Arbitration Opt Out.
You may opt out of arbitration by sending written notice to the address in Section 22 within thirty days after you first accept these Terms. Your notice must include your name, email address and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in courts in Sheridan County, Wyoming.
15.7 Fees and Costs.
Each party will bear its own attorneys' fees and costs in arbitration, unless the arbitrator awards fees to the prevailing party. Administrative fees will be allocated as required by AAA rules or as ordered by the arbitrator.
15.8 Jury Trial Waiver.
If a claim proceeds in court rather than arbitration, you and WayKind™ waive any right to a jury trial, to the fullest extent permitted by law.
15.9 Survival.
This Section 15 survives termination of these Terms and your use of the Service.
16. Severability, Waiver, Interpretation and Entire Agreement
16.1 Severability.
If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.
16.2 Waiver.
No waiver of any provision or right is effective unless in writing and signed by the party granting the waiver. A waiver on one occasion does not waive any future right.
16.3 Interpretation.
Headings are for convenience only. The words "including" and "include" mean "including but not limited to." These Terms will not be construed against WayKind™ as the drafter.
16.4 Entire Agreement and No Third Party Beneficiaries.
These Terms, together with any additional terms incorporated by reference and any applicable written agreements, constitute the entire agreement between you and WayKind™ regarding the Service and supersede all prior understandings. These Terms do not create third party beneficiary rights, except that the indemnified parties in Section 12 are intended third party beneficiaries.
17. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. Any attempted assignment without consent is void. WayKind™ may assign these Terms without your consent, including in connection with a merger, acquisition or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
18. Force Majeure
WayKind™ will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, power or internet failures, cyber attacks, governmental actions, failures of third party services or other events beyond our reasonable control.
19. Compliance, Export Controls, Sanctions and Anti-Corruption
You agree to comply with all applicable laws, including export control, sanctions, anti-money laundering and anti-corruption laws. You represent that you are not located in any jurisdiction subject to comprehensive United States trade sanctions and that you are not listed on any government denied party or restricted list. You agree not to use the Service for any transaction or activity that violates such laws. WayKind™ may suspend or terminate access, block transactions or freeze payouts to comply with such laws.
20. Additional Provisions and Disclosures
20.1 No Tax Deduction for Travelers.
Amounts that WayKind™ allocates to nonprofits are made from WayKind™'s own funds and do not qualify as tax-deductible contributions by travelers. Travelers should not claim any tax deduction based on such allocations.
20.2 Charitable Solicitation and Commercial Co-Venturer Disclosures.
WayKind™ may operate charitable promotions or commercial co-venturer programs in certain jurisdictions and may be subject to specific registration and disclosure requirements. Where required by law, WayKind™ will provide state-specific disclosures.
20.3 Fallback Allocation.
If a Designated Nonprofit is not eligible or fails to maintain eligibility, WayKind™ may allocate the nonprofit share to The Animal Foundation (EIN 88-0144253, 655 N Mojave Road, Las Vegas, Nevada 89101) or to other organizations, subject to applicable law. We may change the default nonprofit at any time.
20.4 Unrecognized or Uncredited Bookings.
If you believe an eligible Booking was not properly recognized, you must submit documentation within the time period specified on the Service. If you do not submit within that period, we have no obligation to review or credit that Booking.
20.5 Changing Designated Nonprofits.
If you sign up without a referral link, you may change your Designated Nonprofit through your account settings. If you sign up through a nonprofit referral link, that nonprofit may remain locked to your account, and you may need to create a new account to support a different nonprofit.
20.6 Nonprofit Eligibility.
Only Enrolled Nonprofits that satisfy our eligibility requirements and maintain a valid payout method may receive payouts. We may change eligibility criteria at any time on a prospective basis.
20.7 Supporter Visibility.
Travelers may view their own history of Bookings and associated program activity in their account dashboards.
20.8 Nonprofit and Referral Partner Visibility.
Nonprofits and Referral Partners receive only aggregated, non-personally identifying information about program activity, such as counts of supporters, Bookings, allocations and payouts. They do not receive traveler names, booking references or personal data, except as required by law.
20.9 Voluntary Participation.
Participation by travelers, nonprofits and Referral Partners is voluntary and may be ended at any time, subject to these Terms and any applicable written agreements.
20.10 Payout Fees.
Nonprofits, Referral Partners and other payout recipients are responsible for any Stripe fees, bank fees, currency conversion costs and other charges associated with receiving payouts.
21. Notices
We may provide notices to you by email to the address associated with your account, by in-Service message, by posting on the Service or by mail. Notices sent by email or in-Service message will be deemed delivered on the date sent. You may provide legal notices to WayKind™ at the mailing address or email address listed in Section 22. Notices you send by mail will be deemed delivered when received. Notices you send by email will be deemed delivered when we confirm receipt.
22. Contact Information
